The short version: Social Circle is a marketplace that connects content creators with brands. For creators it is completely free — $0 subscription and 0% commission on your fee, permanently. Only brands pay a subscription ($99/month, plus any applicable sales tax). Project payments are handled through Stripe Connect and land directly in the creator's own connected account; the transfer to their bank follows Stripe's rules and schedule. You can cancel at any time, with no penalty.

1. Who we are

The Social Circle platform is owned and operated by oderweb d.o.o., a company registered in Slovenia, European Union ("Social Circle", "we", "us").

By creating an account or using the platform you agree to these Terms. If you do not agree, do not use the platform.

2. What the service is — a marketplace

Social Circle is an online marketplace that connects content creators ("creators") with brands and businesses ("brands").

Social Circle is not a party to the agreement between a creator and a brand. We provide the venue, the tools and the payment plumbing. The work itself, its scope, its quality and the commercial terms are agreed between the two of them.

Project payments are processed through Stripe Connect. oderweb d.o.o. does not hold creator or brand funds and is not a money transmitter, bank or payment institution. Stripe is a certified payment provider that authorizes the funds, captures them when the content is approved, and pays out to the creator's connected account.

3. Eligibility and your account

You must be at least 18 years old to use Social Circle. The platform is not intended for and may not be used by anyone under 18.

To use the platform you register with a valid email address and activate your account through the activation link (valid for 48 hours).

You must provide accurate, current information and keep it up to date. You are responsible for keeping your password secure and for everything that happens under your account.

We may suspend or close an account that breaches these Terms, is used fraudulently, or creates risk for other users.

4. Subscription, billing and auto-renewal

Creators: the platform is completely free, permanently, with no subscription. No card is required.

Brands — free trial: 30 days free when you first add a card through Stripe. Nothing is charged during the trial. After that, the subscription is $99 per month, plus any sales tax that applies where you are.

⚠️ Automatic renewal — please read. After the free trial, your subscription renews automatically every month at $99 per month (plus applicable tax) and is charged to the payment method on file, until you cancel. You can cancel at any time in your account settings or by emailing support@socialcircle.media. Cancellation takes effect at the end of the current billing period — you keep access until then, and there is no cancellation fee. We do not provide partial refunds for an unused part of a period you have already paid for, except where the law requires it.

If a charge fails, we may retry it and may suspend access until payment succeeds.

We may change subscription pricing with at least 30 days' notice by email. A price change applies from your next billing period after the notice, and you may cancel before it takes effect.

Subscriptions and project payments are processed by Stripe (PCI DSS Level 1). oderweb d.o.o. never stores your card details.

5. Creators: free permanently, 0% commission

Social Circle is free for creators and stays free regardless of when a creator joins. Creators pay no subscription, activation fee, membership fee or any other charge for using the platform.

Social Circle takes no commission from a creator's fee. The agreed fee is released through Stripe Connect and paid directly into the creator's own connected bank account once the content is approved. Any payment-processor fees (Stripe's) are not a Social Circle commission and are charged according to Stripe's own pricing.

5.1 Founding Creator status (first 100 registered creators)

The first 100 registered creators receive Founding Creator status, which includes:

Founding Creator status is granted on successful registration within the first 100 creators, is non-transferable and cannot be obtained later. The benefits attached to it have no cash value and are not redeemable for money.

No fine print. No hidden costs. No "admin fees".

6. Responsibility for content

Creators are fully responsible for the content they create and publish. Social Circle does not warrant the quality of any content and is not liable for damage arising from content that is published.

Brands are responsible for the accuracy of their briefs and for the legality of what they ask for. You may not request content that breaks the law, deceives consumers, or infringes someone else's rights.

We may remove content that breaches these Terms or applicable law.

6.1 Advertising disclosure (FTC)

Content made through Social Circle is, in almost every case, sponsored content. Under the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255):

Both sides are responsible for their own compliance. Social Circle's AI review is a helper, not a legal sign-off.

7. Intellectual property and usage rights

A creator owns the content they make unless they agree otherwise with the brand. The rights the brand receives — where the content may run, for how long, and whether it may be used in paid ads — are whatever the two sides agree in the project and in the contract they sign.

If paid-ads usage or an extended term is not agreed in writing, it is not granted.

You keep ownership of what you upload. You grant Social Circle a limited, non-exclusive licence to host, display and transmit it as needed to run the platform, and to show public profile material publicly.

7.1 Copyright complaints (DMCA)

If you believe content on Social Circle infringes your copyright, send a notice to support@socialcircle.media with the subject line "DMCA Notice", including: your contact details; identification of the work; the URL of the material; a statement that you have a good-faith belief the use is not authorized; a statement that the information is accurate and that you are the owner or authorized to act for them; and your signature. We remove or disable material that is the subject of a valid notice, notify the user who posted it, and accept counter-notices. Repeat infringers lose their accounts.

8. Contracts between creators and brands

Social Circle generates a contract for each engagement. Generated contracts are not legal advice and do not replace talking to a lawyer. Both sides are responsible for whether a contract suits their situation.

Social Circle is not a party to that contract. The creator invoices for their own work according to their own legal and tax status, not oderweb d.o.o.. Social Circle prepares the details needed for that invoice (date, fee, description of the work, the brand's details) in a form the creator can copy or download into their own accounting tool.

8.1 Independent contractors and taxes

Creators on Social Circle are independent contractors, not employees, agents or partners of oderweb d.o.o. or of the brands that hire them. Nothing here creates an employment relationship, and Social Circle does not supervise or direct how a creator does the work.

9. What you may not do

The platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the platform will be uninterrupted, secure or error-free, or that any project will produce a particular business result.

11. Limitation of liability

Social Circle (oderweb d.o.o.) is not liable for:

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability is in every case limited to the subscription amount you paid in the last 3 months (or $100 if you paid nothing).

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

12. Indemnity

You agree to indemnify and hold harmless oderweb d.o.o. from claims, damages and reasonable legal costs arising out of your content, your use of the platform, your breach of these Terms, or your failure to comply with advertising-disclosure, tax or intellectual-property obligations.

13. Changes to these Terms

We may change these Terms with 30 days' notice by email. Continuing to use the platform after the changes take effect means you accept the new Terms. If you do not accept them, cancel before they take effect.

14. Disputes and governing law

Talk to us first. Before starting any formal proceeding, email support@socialcircle.media with a description of the problem and what you want. Most things are resolved this way, and we will respond within 30 days.

These Terms are governed by the laws of Slovenia, and the courts of Slovenia have jurisdiction, except that:

Neither side gives up the right to bring an individual claim in small-claims court.

15. General

If any provision of these Terms is unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms are the whole agreement between us about the platform.
